Leading commercial law firm Thrings has advised Moore (Holdings) Limited, owner of Moore’s Recycling Limited, on the sale of the business to NG Holdings Limited, owner of Grist Environmental.
Family-run Moore’s Recycling, based in Frome, collects and recycles waste plastic, packaging and cardboard from large and small companies across a range of industry sectors. The business has clocked up half a century of waste management experience, having built a nationwide client base including everyday brands such as DHL, Coca Cola, Bernard Matthews, Argos and Marks and Spencer.
Jason Moore, managing director of Moore (Holdings) Limited took over the business from his father and local businessman Peter Moore in 1996, and has developed Moore’s Recycling according to the evolving needs of his customers and the market. It is one of the few companies in the UK to also manufacture products from the waste it collects – completing the product cycle locally and reducing transport-related carbon emissions in the process.
Established in 1972 and based in Devizes, Grist Environmental offers a variety of waste management and automotive services across Wiltshire and the south west – from the selling of damaged but repairable cars to bodywork restoration and scrapping.
Moore’s Recycling complements the fellow family business, which shares an ethos of environmental sustainability and follows a ‘zero waste to landfill’ policy. Staff will continue to work for the new owners in a business as usual scenario, as guaranteed under the Transfer of Undertakings (Protection of Employment) Regulations 2006.
Thrings commercial partner, Alex Pyatt, and associate solicitor, Sarah Ellis, advised Moore (Holdings) Limited on the structure of the deal – ensuring the transaction documents reflected the agreed terms and that risk and reward were allocated fairly among both parties.
The financial aspects of the deal were managed by Matthew Lee, managing partner of Bishop Fleming Accountants in Bristol.
Jason Moore said: “I am confident that Moore’s Recycling will be in the best position to grow and develop in the hands of its new owners. Handovers are rarely straight forward, but Thrings did a great job, acting proactively throughout and managing the acquisition expertly and smoothly, with an outcome we are all pleased with.
“I would like to thank the staff at Moore’s Recycling for their dedication over the years, without which we could not have built on the success of the company in the way that we did.”
Now having handed over the family undertaking, Jason is dedicating himself to the restoration of classic cars, having launched a new business, JPM Classics, earlier this year.
Sarah Ellis, who is based at Thrings’ Bath office in Queen Square, added: “The global context of the rising and falling cost of materials keeps pushing the refuse and recycling sectors to think differently about how they develop. Moore’s Recycling showed leadership by pushing forward innovative approaches to refuse management, for example, its decision to run both recycling and pipe manufacturing operations in close proximity.
“The acquisition of Moore’s Recycling Limited by NG Holdings Limited is a sound decision that builds on this forward-thinking approach – enlarging the economic and environmental potential of product lifecycle completion at a local level.”
